Fair Usage Policy

This Fair Usage Policy applies to each gym, fitness business, or other organization that uses the qoorr platform (“Customer”) and to all staff members, members, guests, and other users who access the platform through the Customer (“Authorized Users”).

This Policy forms part of the Customer’s Platform Subscription Agreement or other written agreement with Qoorr LLC (“qoorr”). If this Policy conflicts with that agreement or an applicable Order Form, the agreement or Order Form controls.

1. Purpose

qoorr is designed to support the normal operation of gyms and fitness businesses. Most Customers will never be affected by this Policy.

This Policy allows qoorr to address unusually high, excessive, or abusive use that creates significant costs, affects platform performance, presents a security risk, or interferes with other customers’ use of the platform.

2. Reasonable Use

Customers and Authorized Users may use the platform for legitimate gym-management purposes, including managing members, customer relationships, schedules, attendance, programming, communications, connected messaging channels, documents, transactions, and related business activities.

Use must remain reasonably consistent with:

  • The Customer’s subscription and number of locations and members
  • Normal use by a similarly sized gym or fitness business
  • The intended purpose and technical design of the platform
  • Any limits stated in an Order Form, product documentation, or feature description

Temporary increases caused by normal business activity will not ordinarily be considered excessive use.

3. Excessive or Abusive Use

Use may be considered excessive or abusive when it materially exceeds normal gym-management use or creates unreasonable technical, operational, security, or financial demands on qoorr.

Examples may include:

  • Using qoorr primarily as a general file-storage, backup, video-hosting, or content-distribution service
  • Uploading or retaining unusually large quantities of images, videos, documents, or other files unrelated to the Customer’s ordinary operations
  • Generating unusually high bandwidth, data-transfer, database, messaging, or API usage
  • Repeatedly performing large imports, exports, automated requests, or other bulk operations
  • Using bots, scripts, scraping tools, or automated systems that place an unreasonable load on the platform
  • Circumventing technical restrictions, storage limits, usage controls, or subscription requirements
  • Allowing unauthorized third parties to use the Customer’s account
  • Using communications or connected third-party channels for spam, unlawful messaging, or activity that violates the applicable provider’s terms or policies
  • Using the platform in a way that degrades performance, disrupts availability, increases security risk, or materially affects other customers

qoorr may consider the Customer’s size, number of locations, membership count, historical usage, and legitimate business needs when determining whether use is excessive.

4. Monitoring and Notice

qoorr may monitor technical usage information such as storage, bandwidth, request volumes, messaging volumes, and platform activity to operate, secure, and maintain the Services.

When reasonably practical, qoorr will contact the Customer before restricting use and will provide a reasonable opportunity to investigate and reduce the excessive usage.

qoorr will not ordinarily take action because of an isolated usage spike that does not create a material cost, security concern, or service impact.

5. Available Actions

If excessive or abusive use continues, qoorr may take reasonable steps including:

  • Asking the Customer to reduce, remove, archive, or reorganize stored information
  • Requiring changes to an integration, automated process, or usage pattern
  • Applying reasonable technical limits, rate limits, or temporary throttling
  • Restricting the affected feature or type of activity
  • Requiring the Customer to move to an appropriate plan, add-on, or custom arrangement
  • Suspending the affected user or Customer account
  • Terminating access as permitted by the Platform Subscription Agreement

qoorr will not impose additional usage charges unless the Customer agrees to those charges in writing or they are already authorized by an applicable Order Form or agreement.

qoorr may act immediately and without advance notice when reasonably necessary to address a security threat, unlawful activity, significant service disruption, or material risk to qoorr, its providers, or other users.

6. Customer Responsibility

The Customer is responsible for usage by its Authorized Users and for taking reasonable steps to prevent unauthorized or excessive use.

The Customer should avoid storing information that is unnecessary for operating its business, ensure it has authority to connect and use any third-party accounts or channels, and notify qoorr promptly if it becomes aware of unauthorized access, unusual activity, or a process that may generate excessive usage.

7. Changes to This Policy

qoorr may update this Policy from time to time to reflect changes to the platform, technology, security risks, or operating costs.

Material changes will apply prospectively and will not amend a signed Platform Subscription Agreement except as permitted by that agreement. qoorr will provide reasonable notice where required.
